All work performed by Johnnyo Design and/or subcontractors working on behalf of or for Johnnyo Design is subject to the following Terms & Conditions.
1.0 Standard Processes and Discovery
Discovery & Orientation
An initial meeting is scheduled (usually) to familiarize your team with our job methodology, project timelines, content submittal, image selection, etc.
- In this meeting we will discuss and review your creative challenges, competitive advantages, and other services as specified in your contract, as required for each project. This is then finalized, usually through e-mails, meetings, net meetings, after making all necessary updates.
- Once we have an approved outline or content for said media we then proceed to design a “comp” of your project(s). Projects are completed in order as requested by client, one project at a time.
- For web media, revisions are made until approved and final coding is started once all approved text and images are provided as outlined in this contract.
- For print media the design is started as soon as images and approved text have been received.
- After final approval and full payment, files are released or uploaded as requested. Changes to any graphics or text, after approval will be billed.
Web Media Standards:
Home page/sub page concept and variations of concept based on agreed direction, with 1 revision for concept optimization. Multiple concepts (Separate and uniquely different from agreed concept) can be purchased if you prefer to view multiple ideas before choosing a direction (additional costs apply). Custom illustration and/or image enhancements/repairs are additional.
Web sites are optimized and tested for IE6, IE7 and Mozilla browsers. Please note some browsers still have issues and bugs with numerous web applications. Testing includes test for web functionality and graphic representation as compared with approved comp. All software inherently will have bugs and minor glitches, and to correct these, the first 30 days after your release, any and all client submitted fixes are included in your contract. Changes that are not “fixes” are, of course, billable.
- Navigation planning and site architecture.
- CSS Stylized text and header layout for provided approved text.
- Animated Buttons (limited)
- Menu Rollovers/Drop Downs and JavaScript
- All necessary coding in preferred languages
- Optimized graphics for best performance
- Designated amount of Sub Pages. Any additional features not specifically referenced in contract can be added at anytime, however they will incur additional billings. Additional pages are $150 per
- Review of industry sites, if requested
Print & Exhibit Media Standards:
- Print Media and exhibit concept based on discussions with 1 revision for concept optimization. Multiple concepts can be purchased if you prefer to view multiple ideas before choosing a direction (additional costs apply). Custom illustration and/or image enhancements/repairs are additional.
- Logos will receive at least 3 variations of our concept. Additional concepts can be purchased for $225 each if requested. (Our standard logo pricing is based on a single concept, as it is our most popular service, and we do not want to charge in advance for something that may not be needed, however some companies prefer to see multiple and unique concepts, which is easily added if requested) Logos will be provided in multiple image formats. A logo disk and image usage guideline document can be provided at an additional cost.

Image Selection
Image Selection is a critical part of the design process. Once images are selected, we can purchase them for you at an additional cost for time and expenses. There are several ways to get the images you need to enhance your corporate image:
- Customer Provided
- Digital Royalty Free or Rights-managed images via several of our recommend web sites.
- Photo Shoots – Billed hourly for photographer and models.
- Custom Illustration, Renderings of a Defined Object – Johnnyo Design can create a desired image in 3D or as an illustration to get that unique look of hard to capture imagery/scenes. Additional costs apply.
Content Submittal - VERY IMPORTANT:
All content (web & print projects) provided before or after marketing and web review must be submitted in MS WORD documents, pre-proofed and free from typographical error. Each Word document should contain the exact text you wish displayed on your site/print media and be titled according to the category previously approved in your outline, where applicable.
Submitting Technical Copy
Your technical copy should describe the core of each category in your outline with the insight that usually only comes from the “inside”. We understand that nobody knows your company, products and services better. We are looking for the technical description for each area in your approved outline or for approved subject matter. If you have purchased optimization services (*highly recommended) we will then enhance your message to be as compelling as possible, use attractive lead ins and headers, and conclude the message with action calls.
Please wait until you have accumulated all the technical copy, form text, links, etc. and submit in one ZIP file with each WORD document being properly labeled according to the approved outline…as it will assist in the management and timeliness of your project. We cannot accept files in any other format. If you need help or further clarifications please call us and we will be happy to assist.
Please do not send partial copy or request us to “Copy” text from a current web site, as copy enhancement and persuasion architecture is not full discovery and turnkey copywriting. This is available, but will require interviews, research, technical writing, approval of technical writing and then marketing and persuasive architecture. If you have any questions we will be glad to walk you through the process of submitting your text so your project is not delayed. This process was created to track and manage your projects and streamline your development time.
Marketing Optimization & Architecture
Upon receiving your technical copy, our job will be to enhance the document’s effectiveness and marketing message using headers, sub headers, revised body treatment, visual structuring, benefit oriented bullets and key points, calls to actions, etc. We call this Persuasive Architecture, or more simply, marketing optimization. We will then resubmit this information back to you for approval of the content; however at this time the document will not be proofed.
Proofing
We allow our clients the option to choose their own proofing methods. Johnnyo Design is not responsible for any “typos” or errors in any document that is ultimately approved for production by the client.
1.1 Copy, Creative & Usage Rights
Johnnyo Design maintains certain rights to all of our designs. Client maintains ownership of designs contracted for its original and intended use only. We will provide you with a “flattened” copy of your job upon request. Creative and Marketing ideas belong to Johnnyo Design and may be used only as specifically contracted for. Written permission must be granted by Johnnyo Design for any other use of ideas, copy or “live” graphic files.
1.2 Proofs & Final Output (applicable on print jobs)
Due to the various types of color builds, Johnnyo Design would like to call to your attention that all colors and proofs viewed as match prints, on screen, or sample printouts may not match your final product exactly. A signed proof is required on all projects prior to production. Johnnyo Design is not accountable for unsigned proofs or verbal authorizations. Color matching, if needed will be billed at $75 per hour.
1.3 Late & Legal Fees
Legal fees and late fees are applied monthly to all bills 30 days past due. Late fees are 5% of contract total, and are applied monthly until account is paid in full. Johnnyo Design reserves the right to collect full legal fees, should legal action be required to secure a debt. Client authorizes use of small logo/web address for Johnnyo Design on print pieces, web sites and e-mails for the purpose of identifying the designer.
1.4 Completion Dates & Rush Charges
All projects will be completed ASAP, as the process allows. All content and materials that are needed must be provided to Johnnyo Design before a timeline can be issued. If you need a firm due date, we can note it in your contract, however RUSH fees may apply. Rush charges vary with each project and the amount of time allotted, ranging from 10-25%.
1.5 Revisions
Johnnyo Design requires completion of our web-based email form or a signed fax with the revision number typed into the subject line, accompanied by our email form noting a fax is also provided. Revisions must be submitted within 3 business days of notification or your project will be delayed. E-mailed revisions will be accepted, but the email form on our Web site is preferred.
1.6 Cancellation/Legal
Either party may cancel this contract at any time. If a project is canceled after the start of creative ideas and marketing direction and/or design services have been discussed, the initial and all subsequent payments made or due at that time, shall be forfeited. Neither party in any circumstances shall be held liable for alleged loss of income or other damages that exceed the amount paid. Disputes are to be settled by independent arbitration.
1.7 Payment Terms
Johnnyo Design requires a 50% non-refundable payment to initiate a new project, and the balance due upon completion. For printing, hourly contracts, hosting, and consulting, Johnnyo Design requires a 30%-50% payment with either the balance due upon delivery or monthly billings as described in this document. Johnnyo Design reserves the right to require payment by cashiers check or money order.
1.8 Subsequent Orders
Any and all requests or new projects ordered are subject to the same terms and conditions of this document and do not require another signature & document.

* Outsourcing includes fulfilling requested services outside the direct scope of you contract or without a separate invoice. Examples may include mailing coordination and distribution, photography, ad placements, custom printing, telemarketing, copying, etc. We will secure a fair rate and will arrange for you to pay our vendor directly or if you prefer we can simply bill you for the full amount of the provided service plus our 25% fee.
* Images provided or downloaded can be either ready to use as is, or require a lot of work. If your chosen image needs customization other than sizing or coloring it will incur additional charges. Charts, PowerPoint Docs, graphs, etc. are assumed to be ready to use, customization or re-rendering of these documents is extra, unless specifically referred to in your contract.
1.9 Timelines
Because of the nature of design and consulting work, and the dependency for client feed back, response and client responsibilities, these timelines are subject to change and are not guaranteed.

3-5 business days from receipt of online revision form or properly documented fax. Lengthy revisions may take longer.
